Terms of Service

1. Agreement to Terms

By accessing or using the RaiseAxis platform ("Service"), operated by RaiseAxis Ltd, a company registered in England and Wales, you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service.

2. Description of Service

RaiseAxis provides a SaaS platform for founders and finance professionals to manage fundraising processes, including investor pipeline tracking, data room management, document sharing, and investor update distribution.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorised use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations, including the Financial Conduct Authority (FCA) rules where applicable
• Upload malicious software, harmful content, or content that infringes third-party intellectual property rights
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Share your account credentials with third parties
• Use the platform to solicit investments in a manner that would constitute a regulated activity without appropriate FCA authorisation

5. Intellectual Property

The Service, including its design, code, branding, and content (excluding user-uploaded materials), is owned by RaiseAxis Ltd. You retain all rights to content you upload. By uploading content, you grant us a limited licence to store, display, and transmit it solely to provide the Service.

6. Data Room & Document Sharing

Documents uploaded to data rooms remain your property. We implement encryption at rest and in transit, row-level security, and access controls. However, once you share a document via a share link, you are responsible for managing access. We are not liable for actions taken by recipients you have authorised.

7. Subscription & Payments

Paid features are billed on a monthly or annual subscription basis. Prices are in GBP and exclusive of VAT where applicable. You may cancel at any time; access continues until the end of the current billing period. Refunds are not provided for partial periods.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by English law, RaiseAxis Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

10. Termination

We may suspend or terminate your account if you breach these Terms. Upon termination, you may request export of your data within 30 days, after which it will be deleted in accordance with our Privacy Policy and UK GDPR obligations.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
